Conditions for company programmes
MARLINK TRADING SRLVersion: 2026-11-06 · Last updated: 2026-11-06
The conditions for Custom Courses for Companies (company programmes). The Romanian text is authoritative; this is a translation of it.
1. Parties
1.1. These conditions apply to the contract between MARLINK TRADING SRL, registered office Str. Vaselor 2 Bl. 34 Et. 1 Ap. 9, Sectorul 2, București, 021254, trade register no. J40/24350/1994, tax code RO6612637, operator of AI Focus ("the Provider"), and the company that buys a company programme ("the Client"), identified in the service contract generated at acceptance (section 6).
1.2. The Client is a professional (a legal entity, an authorised natural person (PFA), an individual enterprise or a family enterprise) buying for its trade, business or profession. The person who accepts the quote declares that they can bind the Client.
2. Object and definitions
2.1. The object of the contract is the delivery by the Provider of the courses of the company programme for the Client's members, in person or live online, as set out in the accepted quote and Annex 1.
2.2. Definitions:
- Company programme: the set of courses in the accepted quote.
- Quote: the document the Provider publishes in the Client's account on aifocus.ro, with its versions (section 3).
- Included place: a place on a course covered by the course's total price.
- Extra place: a place beyond the included places, at the price per place in the quote.
- Member: a person in the Client's organisation account.
- Enrolment period: the period in the quote in which members can enrol.
- Delivery report: the document generated after a course is delivered, with the participants' attendance (section 12).
- Force majeure: any unforeseeable, unavoidable and insurmountable event beyond the parties' control that wholly or partly prevents performance, within the meaning of Romanian law.
2.3. Anything these conditions do not cover is governed by the Terms of service, in the version set in 4.4. Where the two documents conflict, these conditions prevail, and Annex 1 prevails on matters specific to the programme.
2.4. Place of delivery. For each course, the quote and Annex 1 set where the meetings take place: in person, at a venue the Provider provides or at the Client's premises or another location of the Client, or live online, on the Provider's site. A course may have in-person and online meetings where that is set for the course.
3. The quote and its versions
3.1. The Client tells us what it needs, and the Provider publishes the quote in the Client's account. The quote shows the courses, the format of each, for each course the total price for the places included and, where applicable, the price for each extra place, VAT, the total, the quote's validity period, the enrolment period, the participant requirements (8.3) and the version of these conditions and of the Terms of service.
3.2. While the parties negotiate, the quote can be revised (version 1, version 2 and so on). A new version replaces the previous one. Only the latest active version can be accepted, within its validity period.
4. Acceptance and conclusion of the contract
4.1. Before payment, on the quote page, on the payment page or in the company account, the Client ticks its express acceptance of the following clauses: 8.3 and 8.4 (participant requirements), 9 (unused places), 10.4–10.7 (moves requested by the Client), 11 (refunds), 13 (exclusion of the right of withdrawal), 14 (limitation of liability) and 19 (governing law and competent court). The tick is required for payment by card and for payment by bank transfer alike.
4.2. When the Client agrees to the quote, the Provider issues the proforma invoice. The contract is concluded on the date the Provider receives full payment of the proforma, within the quote's validity period; the payment is the acceptance of the quote. If the payment does not arrive within that period, the quote expires and enrolment does not open.
4.3. If a bank transfer arrives without the tick in 4.1, the contract is concluded, but enrolment opens only once the Client ticks.
4.4. The contract is governed by the version of these conditions and of the Terms of service in force on the date of the tick in 4.1. The versions are shown next to the tick and kept with the acceptance.
5. Price and payment
5.1. The price is set for each course, as a total for the places included. The quote may also set a price for each extra place. Prices in the quote are in euro (EUR), with VAT shown separately. The proforma invoice is issued in lei (RON), at the BNR rate on the day it is issued, and also shows the reference amount in euro; the invoice issued after payment carries the amount from the proforma.
5.2. Payment is always made in full before the service is delivered. The proforma invoice is due immediately, with no payment term. Extra places are paid before they are used.
5.3. The Client pays the proforma by bank transfer or by card. Card payment is made through Stripe, from the company account, by the owner or an administrator, or through a payment link received from the Provider. The amount paid by card is the total of the proforma, in lei, with VAT. A card payment is made when Stripe confirms it; the Provider then issues the invoice from the proforma. For a bank transfer, the Provider confirms receipt of the payment and then issues the invoice. An overpayment is returned by the same payment method.
6. The service contract and the Team course programme annex
The service contract sets out both parties' details, the version of the accepted quote, the versions in 4.4 and the Team course programme annex (the courses, places, amounts, meetings and hours). The contract and the annex are available in the Client's account, under Documents, and form an integral part of the contract. If the quote names a custom contract, it replaces the standard contract and prevails over these conditions on the matters it governs.
7. Enrolment
7.1. After payment, the Client's members see the programme's courses and events in their account on aifocus.ro and can enrol by pressing "Enrol". On enrolment, the Provider issues a ticket for that course and places it on the event, in the same step, within the places included and the extra places paid for that course.
7.2. The owner or an administrator of the organisation account can enrol a colleague or remove an enrolled member.
7.3. A paid place does not reserve a seat on an event until a member enrols. Enrolment is possible within the enrolment period and while the event has places available.
8. Obligations of the parties
8.1. The Provider undertakes:
- a) to deliver the courses as set out in the accepted quote and Annex 1, with professional diligence;
- b) to publish each event's schedule and announce any change as early as it can;
- c) to process members' data lawfully (section 15);
- d) to generate the contract, Annex 1 and the delivery reports.
8.2. The Client undertakes:
- a) to pay the price under section 5;
- b) to provide the information needed to organise the courses and to notify promptly any change that may affect them;
- c) to ensure that members follow the participation rules in the Terms of service (including personal access to meetings);
- d) to send members' data only where it has a basis to do so, and to inform its members;
- e) for meetings held at its location, to provide access to the space at the scheduled date and time and the equipment set for that course in Annex 1;
- f) to ensure that enrolled members meet the participant requirements (8.3).
8.3. Participant requirements. At each meeting, each enrolled member ("participant") has a working laptop and a stable internet connection. The participant also has an active paid subscription to the artificial intelligence tool the course requires (for example, Claude Pro or a higher plan), with usage available during the meetings. Each course's requirements are those in the quote and in Annex 1. Unless the quote states otherwise, the Provider does not supply laptops, an internet connection or subscriptions.
8.4. If a participant does not meet the requirements in 8.3 and cannot take an active part, the meeting counts as delivered and their place counts as used. The Client has no right to a refund or a reschedule on that ground, and the Provider is not liable for it.
9. Unused places
Places on which no member has enrolled by the end of the enrolment period expire on that date, without a refund. Removing an enrolled member gives no right to a refund.
10. Moves and cancellations
10.1. The Provider may move or cancel a course, an event or a meeting only for a justified reason and tells the Client as early as it can.
10.2. Rescheduling comes first: if the Provider moves or cancels a course, an event or a meeting, it first offers a new date. The updated schedule appears in the Client's account.
10.3. Only if the Provider cannot deliver the moved or cancelled part at all does it refund the undelivered part (section 11).
10.4. Moves requested by the Client. The Client may ask in writing to move a meeting, at least 3 working days before the day of the meeting. The new date is agreed with the Provider, based on the Provider's availability. If the parties do not agree a new date, the meeting stays on its original date.
10.5. The first move the Client requests for a course is free. Each further move the Client requests for the same course costs the price of one meeting: the course's amount in Annex 1, excluding VAT, divided by the number of meetings scheduled for that course, plus VAT, as applicable.
10.6. For a paid move, the Provider issues the invoice, and the Client pays it before the new date is confirmed. Until payment, the meeting stays on its original date.
10.7. A request received later than the notice in 10.4 does not move the meeting: the meeting stays on its scheduled date and counts as delivered. Likewise, if the participants do not attend a meeting, the meeting counts as delivered. In these cases no refund or reschedule is given.
11. Refunds
11.1. The Provider gives no refunds for unused places, for removing a member or for the Client changing its mind, and gives no partial refunds.
11.2. The Client gets money back only in the case in 10.3, for the undelivered part, calculated from the price of the course affected. The refund is made to the Client, through the original payment method (by bank transfer, where the payment was made by bank transfer), within a reasonable time.
12. Delivery report
12.1. After each course is delivered, the site generates the delivery report (proces-verbal de prestare), with the course, the meetings held, their dates and hours, and the participants' attendance. The report is available in the Client's account.
12.2. The Client may send written comments on the report, and the Provider answers them and, where needed, corrects it.
13. Right of withdrawal
The statutory consumer right of withdrawal does not apply to this contract, concluded by the Client for its business. Assigning a ticket to a member does not give that member a right to withdraw from the Client's contract.
14. Liability and its limitation
14.1. The Provider delivers the training with professional diligence. It does not guarantee any particular business, technical or employment result.
14.2. The Provider's total liability to the Client for any claim arising out of or in connection with the contract is limited to the amount paid for the course affected.
14.3. Neither party is liable for indirect damage, including loss of profit or of business opportunities.
14.4. The limits in 14.2 and 14.3 apply to the extent the law allows and do not apply in case of fraud, gross negligence or intentional breach of the contract.
14.5. Use of artificial intelligence tools. The Client and its members decide alone how they use artificial intelligence tools and their outputs, during the programme and after it ends: the decisions they make, the data they enter, the results they use and compliance with the law and the rules that apply to them. They alone are responsible for that use. To the extent the law allows, the Provider is not liable for any damage arising from that use.
15. Data protection
The Provider processes members' data under the Privacy policy and Regulation (EU) 2016/679. Where needed, the parties conclude a data processing agreement.
16. Course materials
The course materials remain the Provider's. Enrolled members may use them for learning and for their work within the Client; they may not publish, resell or make them available to other people without the Provider's written consent. Certificates of attendance are awarded to members under the Terms of service (6.6) and are personal.
17. Force majeure
17.1. Neither party is liable for non-performance or improper performance caused by force majeure.
17.2. The party invoking force majeure notifies the other within 5 working days of the event, with details and, where possible, supporting documents, and makes reasonable efforts to limit its effects.
17.3. Meetings that cannot be held because of force majeure are rescheduled; if they cannot be rescheduled at all, 10.3 applies. If force majeure lasts more than 30 days, either party may give notice to end the contract, without damages, with a refund of the undelivered part.
18. Termination
18.1. The contract ends when the programme has been fully delivered and the enrolment period has expired.
18.2. The contract may end early by agreement of the parties, or by termination by either party for a material breach that the other party does not remedy within 15 days of written notice. On termination for the Provider's breach, the undelivered part is refunded (11.2).
18.3. The obligations on limitation of liability, course materials and dispute resolution survive termination.
19. Governing law and competent court
19.1. The contract is governed by Romanian law.
19.2. The parties first try to settle any dispute amicably. If they do not succeed within 30 days, the dispute is settled by the competent courts at the registered office of MARLINK TRADING SRL.
20. Notices
20.1. Notices are sent by email, to the addresses in the contract, or by registered letter with acknowledgement of receipt. The Provider may also send notices in the Client's account on aifocus.ro.
20.2. An email sent on a working day by 17:00 (Romanian time), with no error message, is deemed received that day; otherwise on the next working day. Any change of contact details is notified within 5 days. Verbal communications have no effect unless confirmed in writing.
21. Assignment
Neither party may assign the contract or its obligations to a third party without the other party's prior written consent.
22. Final provisions
22.1. These conditions, the accepted quote, the contract generated at acceptance and Annex 1 are the entire agreement of the parties on the programme and replace any earlier understanding on the same subject. At the Client's request, including before it receives a quote, the Provider provides its standard mutual confidentiality agreement, which the parties may sign. A confidentiality agreement proposed by the Client that differs from the standard one is negotiated separately and may change the price of the quote. Once signed, the confidentiality agreement supplements the contract.
22.2. If a provision becomes void or unenforceable, the other provisions remain valid.
22.3. The contract and the annex are concluded electronically, by acceptance on the site, and have the same legal force as signed documents.
22.4. The Provider may change these conditions. A concluded contract is governed by the version set in 4.4.
